1.Concepts:
1.1 Seller – UAB “Mesoderma”, company code 302633438, correspondence address Raudonvario pl. 107B, Kaunas LT-47184, e-mail: info@mesoderma.eu.
1.2 Buyer – an adult natural person purchasing goods from the Seller, a minor (from 14 to 18 years old) natural person with the consent of his parents or guardians (except in cases where he independently disposes of his income), a legal entity, or an authorized representative of the listed persons;
1.3 Rules – Purchase – Sale Rules establishing the mutual relations, rights, obligations and responsibilities between the Buyer and the Seller;
1.4 Contract – A contract is concluded between the Buyer and the Seller during the Purchase – Sale;
1.5 Electronic store – the Seller's website/store (www.mesoderma.eu), which is used to identify the Buyer, their order, contact details, payment and delivery details;
1.6 Order – a list of goods purchased by the Buyer.
2 General provisions
2.1 These Rules are a legal document binding on the parties, which establishes the rights and obligations of the Buyer and the Seller, the conditions for purchasing and paying for goods, the procedure for delivering and returning goods, the responsibilities of the parties and other provisions related to the purchase and sale of goods when purchasing goods from the Seller.
2.2 When placing an Order with the Seller, the Buyer must familiarize himself with these Rules and confirm that he has done so when providing the necessary data for the conclusion of the Agreement and delivery of the Order.
2.3 The Seller has the right to change the Rules at any time, taking into account the requirements established by law. The Buyer will be informed about changes to the Rules in the Online Store.
3. Conclusion of the contract
3.1 The Agreement between the Buyer and the Seller is considered concluded from the moment the Buyer places an order in the Online Store, provides the data necessary for concluding the Agreement, delivering the order, and clicks the "Confirm" link;
4. Buyer's rights
4.1 The Buyer has the right to purchase goods from the Seller in accordance with these Rules.
4.2 The Buyer has the right to withdraw from the contract of sale of goods and return the goods. The Buyer must notify the Seller in writing (to the e-mail address: info@mesoderma.eu), indicating the desired return of the goods (-es) and the reason for the return, as provided for in the Order of the Minister of Economy of the Republic of Lithuania of 17 August 2001 No. 258 “On approval of the rules for the sale of goods and the provision of services when contracts are concluded using communication means”.
4.3 The Buyer may exercise the right provided for in clause 4.2 of the Rules only if the goods have not been damaged, their appearance has not substantially changed (they are still in their packaging) or they have not been used.
4.4 In the event that the Buyer purchases a set of goods from the Seller and, in accordance with the right provided for in clause 4.2 of the Rules, wishes to withdraw from the purchase and sale agreement for a certain good(s), he must return the entire set of goods to the Seller. In the event that at least one of the goods in the set does not meet the requirements provided for in clause 11.3 of the Rules, the Seller has the right to refuse to accept the returned goods.
5. Obligations of the buyer
5.1 The Buyer must pay for the goods and accept them in accordance with the procedure established by these Rules.
5.2 When using the Online Store, the Buyer undertakes to comply with these Rules and other terms and conditions provided in the Online Store and the legal acts of the Republic of Lithuania.
6. Seller's Rights
6.1 The Seller has the right to set a minimum Order amount at its discretion, i.e. the minimum amount upon reaching which the Buyer's Order will be delivered free of charge. The amount of this amount is specified in the Seller's delivery terms.
6.2 If the Buyer attempts to undermine the stability and security of the Online Store or violates his obligations, the Seller has the right to immediately and without warning restrict or suspend his access to the Online Store.
7. Responsibilities of the seller
7.1 The Seller undertakes to provide the Buyer with the opportunity to use the services of the Online Store under the conditions set out in these Rules and the Online Store.
7.2 The Seller undertakes to respect the Buyer's right to privacy to personal information belonging to him and to process the personal data specified by the Buyer only in accordance with the procedure established in Chapter 12 of the Rules and the legal acts of the Republic of Lithuania.
7.3 The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by him/her under the conditions specified in Section 9 of the Rules.
7.4 If the Seller is unable to deliver the ordered goods to the Buyer due to important circumstances, he undertakes to refund the money paid to the Buyer, if an advance payment was made.
7.5 If the Buyer exercises the right provided for in clause 4.2 of the Rules and if the condition provided for in clause 4.4 of the Rules is met, the Seller undertakes to refund the money paid to the Buyer within 14 (fourteen) days from the date of receipt of the returned goods.
8. Procedure and terms of payment for goods
8.1 The Buyer may pay for the goods in one of the following ways:
8.1.1 Electronic banking means prepayment using the electronic banking system used by the Buyer. The responsibility for data security in this case lies with the relevant bank, since all monetary transactions take place in the bank's electronic banking system.
8.1.2 By bank transfer – this is an advance payment when the Buyer transfers money from his account to the Seller's account according to the invoice provided.
8.1.3 Payment by card means prepayment using the Visa/Mastercard payment card used by the Buyer.
8.2 After successfully paying for the order, the Buyer is immediately informed by a separate email regarding the purchase confirmation.
9. Delivery of goods
9.1 When ordering goods, the Buyer may choose the method of delivery of the goods, i.e. use the delivery service provided by the Seller's authorized representative.
9.2 Delivery of Goods to the Buyer:
9.2.1 The Buyer, having selected the delivery service during the order, undertakes to indicate the exact delivery location of the goods.
9.2.2 The Buyer undertakes to accept the goods himself or to indicate a person who will collect the goods when placing the Order. In the event that the Buyer (or another person specified) cannot accept the goods, and the goods are delivered to the specified address and based on other data provided by the Buyer, the Buyer has no right to make claims against the Seller regarding the delivery of the goods to an inappropriate entity.
9.2.3 The Goods are delivered by the Seller or its authorized representative.
9.2.4 The delivery (transportation) fee for goods is calculated taking into account the size of the Order and the place of delivery:
9.2.5 When the Buyer wishes the goods to be delivered outside Lithuania, the terms of delivery of the Order shall be agreed upon in a separate agreement.
9.3 After the Buyer places an Order on weekdays before 16:00 and makes payment, the Seller or its authorized representative delivers the goods within 2-3 business days from the date of receipt of the payment on the account. In the event of any malfunctions or shortage of goods, the Seller immediately notifies the Buyer of a possible longer delivery period and if the Buyer is satisfied with this, the Seller continues to deliver the Order.
9.4 In all cases, the Seller is exempted from liability for violation of the terms of delivery of goods if the goods are not delivered to the Buyer or are delivered late due to the fault of the Buyer or due to circumstances beyond the control of the Buyer.
10. Product quality guarantee and shelf life
10.1 The characteristics of each of the Seller's goods are generally indicated in the product description attached to each product.
10.2 The Seller is not responsible for the fact that the color, shape or other parameter of the goods in the Online Store may not correspond to the actual size, shape and color of the goods due to the characteristics of the display used by the Buyer.
11. Return and exchange of goods
11.1 Defects in the sold goods are eliminated, poor-quality goods are replaced, returned in accordance with the Rules for Returning and Exchanging Goods approved by the Order of the Minister of Economy of the Republic of Lithuania of June 2001, 29 No. 217 "On Approval of the Rules for Returning and Exchanging Goods".
11.2 In order to return the goods(s) in the cases specified in clause 11.1 of the Rules, the Buyer must contact the Seller and submit a written request for the return of the goods. This must be done in accordance with clause 4.2 of the Rules.
11.3 When returning goods to the Buyer, the following conditions must be met:
11.3.1 The returned item must be in its original, neat packaging (this clause does not apply if a defective item is returned);
11.3.2 The Product must be undamaged by the Buyer;
11.3.3 The product must be unused and in good condition (labels not damaged, protective film not torn, etc.) (this clause does not apply in the case of a returned product of poor quality);
11.3.4 The returned item must be in the same condition as it was received by the Buyer (with packaging, if any);
11.3.5 When returning a product, it is necessary to provide a document of purchase and a written request for the return of the product.
11.4 The Seller has the right not to accept the goods returned by the Buyer if the Buyer does not comply with the procedure for returning goods set out in this article.
11.5 The return and exchange of goods is carried out in accordance with the "Rules for the Return and Exchange of Goods" approved by Order No. 2001 of the Minister of Economy of 29 June 217 and the "Rules for the Sale of Goods and Provision of Services, When Contracts are Concluded Using Communication Means" approved by Order No. 2001 of the Minister of Economy of the Republic of Lithuania of 17 August 258.
11.6 Money for returned goods is in all cases transferred by payment order and only to the payer's bank account.
11.7 The Buyer must return the goods to the address Raudonvario pl. 107B, Kaunas LT-47184 or to a parcel machine after prior written agreement with the Seller.
11.8 The Buyer pays the costs of returning the order.
11.9 For returned orders, the Buyer will be refunded within 1-3 business days from the date of receipt of the goods.
11.10 Refunds are made using the same payment method that the Customer used to complete the transaction.
12 Final Provisions
12.1 These rules have been drawn up in accordance with the legal acts of the Republic of Lithuania.
12.2 The law of the Republic of Lithuania applies to relations arising on the basis of these rules.
12.3 All disagreements arising from the implementation of these rules shall be resolved through negotiations. If an agreement cannot be reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
